1. Who we are and what this is
Road Triage ("the Service" or "the Helm") is an AI-assisted roadway assessment and infrastructure-condition platform operated by Robocist, Inc. ("Robocist", "Company", "we", "us"), a North Carolina corporation with its principal place of business in Raleigh, NC. Road Triage uses computer vision and machine learning to detect, classify, and score roadway conditions, assets, signs, and markings from imagery collected by users. Outputs are decision-support information, not engineering certifications.
2. Account & registration
Every user — including invited guests and read-only viewers — must complete a registration profile and accept these Terms before accessing any feature. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Promptly notify us at support@robocist.com of any unauthorized use.
3. Acceptance & changes to these Terms
By clicking "I accept" you agree to be bound by these Terms. We may update these Terms at any time; when we do, we will require you to re-accept the new version before continued use. Your continued use after acceptance constitutes agreement to the updated Terms. The version you accepted and the date/time/IP of acceptance are recorded against your account.
4. "As-is" service — no warranties
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROBOCIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. You use the Service entirely at your own risk.
5. Data accuracy · No guarantee
The data in the Service, including condition scores, distress detections, treatment categories, cost figures, forecasts, and other outputs, is generated by automated analysis and modeling. It is provided on a best-effort basis and may contain errors, omissions, or inaccuracies. It is not represented or warranted to be accurate, complete, exact, precise, current, or fit for any particular purpose.
Robocist does not guarantee the accuracy or completeness of any data in the Service. You should independently verify the data before relying on it for any engineering, financial, safety, or regulatory decision. The warranty disclaimer in Section 4 and the limitation of liability in Section 11 apply fully to all data and outputs, and Robocist is not liable for any loss or damage arising from your reliance on them.
6. Informational use only · No recommendations
The Service and its content are provided for informational purposes only. The Service presents recorded and modeled data so that you can review it. The Service does not recommend, advise, prioritize on your behalf, or tell you what to do. Features that sort, rank, group, or filter data (for example, showing the lowest-scoring segments first) are ways of presenting the data and are not recommendations.
Any treatment category, cost figure, forecast, score, ranking, or similar item shown in the Service is recorded or modeled data presented for your reference. It is not professional engineering advice and is not a recommendation by Robocist.
You are solely responsible for all decisions you make and all actions you take. You should obtain advice from a licensed professional engineer or other qualified professional before relying on any data in the Service for engineering, financial, safety, or regulatory decisions. Robocist is not responsible for any decision you make or any action you take or fail to take.
7. Not a system of record · Not engineering certification
Road Triage outputs (including assessment scores, distress counts, sign and asset inventories, audit logs, exports, and reports) are provided for your convenience only. They are NOT:
- a system of record, an official record, or an authoritative or evidentiary source for legal, regulatory, financial, or insurance purposes;
- a pavement-management system, asset-management system, or work-order system;
- an engineering certification, professional engineer's opinion, FHWA-certified IRI value, or ASTM E950-compliant profiling result (except where the Service explicitly states a result is delivered from FHWA-certified SSI equipment);
- a substitute for professional engineering judgment, field inspection by a qualified professional, or compliance verification by your own staff.
For any decision with legal, financial, safety, or regulatory consequence, you must maintain your own authoritative records and obtain independent verification.
The Service is a working tool, not the place where your records live. You are responsible for generating, downloading, exporting, and retaining your own copies of any data, report, image, or other content you need to keep. Robocist does not promise to keep, archive, retain, back up, or maintain any content for any particular period, and may add, change, or remove content or features, or limit or end access, at any time. To the extent you need a durable record, you are responsible for creating and keeping it outside the Service.
8. Not a work-order or dispatch system
The Service presents road and asset condition data. It is not a work-order, dispatch, maintenance-management, or field-operations system. The Service does not assign work to people or crews, does not generate work orders, does not schedule or direct repairs or inspections, and does not manage field tasks.
You are solely responsible for planning, scheduling, dispatching, performing, and supervising any inspection, maintenance, repair, or construction work. Robocist has no duty to monitor the condition of any road, segment, structure, or asset, no duty to alert you to any condition or change in condition, and no duty to act on anything shown in the Service.
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Robocist and its officers, employees, and agents from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to any work that was or was not performed, scheduled, or dispatched, or any decision to act or not to act, based in whole or in part on the Service or the data in it.
9. AI-generated content — significant disclaimer
Road Triage uses a multi-stage AI pipeline (computer vision, machine learning, and large language models) for detection, scoring, summarization, and content generation. AI systems make mistakes. Even with our multi-model cross-checking, human-annotated training data, and ongoing audit sampling, residual errors persist — including false positives, false negatives, mis-classifications, off-by-one geometries, and outright fabrications ("hallucinations") in generated text. You agree that:
- AI detections and scores are estimates, not measurements;
- You will independently verify any AI-generated finding before relying on it for safety, compliance, contracting, or capital-planning decisions;
- Robocist makes no warranty that AI outputs are accurate, complete, or fit for any specific use.
10. AI-generated help & documentation
Substantially all in-product help content, tooltips, onboarding text, and assistant ("Robo AI") responses are drafted with AI assistance. They may misrepresent actual product behavior, capabilities, accuracy, limits, or pricing. Treat help content as a starting point, not authoritative documentation. If you need a definitive answer about how the Service behaves or what it supports, contact Robocist support directly: support@robocist.com.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: ROBOCIST AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ROBOCIST'S TOTAL CUMULATIVE LIABILITY UNDER OR RELATED TO THESE TERMS, FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU HAVE PAID TO ROBOCIST UNDER YOUR THEN-CURRENT SERVICE AGREEMENT FOR THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
12. Your data and content
You retain ownership of data, imagery, and content you submit ("Customer Data"). You grant Robocist a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, analyze, and create derivative works (including AI training data subject to anonymization) of your Customer Data solely to operate, improve, and support the Service. You represent that you have the rights necessary to grant this license and that your Customer Data does not violate any law or third-party rights.
13. Privacy
How we collect, use, and disclose personal information is described in the Robocist Privacy Policy, available at Robocist Privacy Policy. The Privacy Policy is incorporated by reference into these Terms.
14. Acceptable use
You agree not to: (a) scrape, harvest, or use automated means to access the Service except via official APIs we provide; (b) attempt to circumvent authentication, authorization, or rate limits; (c) access data belonging to other tenants/firms; (d) upload malware or illegal content; (e) use the Service to harass, defame, or harm any person; (f) reverse-engineer, decompile, or attempt to derive source code (except as permitted by law); (g) use the Service to develop a competing product. We may suspend or terminate accounts that violate this Section.
15. Suspension & termination
We may suspend or terminate your access immediately on written notice for material breach of these Terms, security risk, non-payment, or "Cause" as defined in your Service Agreement. Upon termination, your right to access ceases. You may export your Customer Data for a reasonable window after termination (typically 30 days). After that window, we may delete it.
16. Fees & billing
If your account includes paid features, fees are governed by the Service Agreement signed by you or your organization. Standard payment terms are net-30 from invoice receipt; late payments accrue interest at 1.5% per month or the maximum legal rate, whichever is lower, plus reasonable collection costs (including attorneys' fees). Taxes are your responsibility unless we have agreed in writing otherwise.
17. Third-party content & federal data
The Service displays data from third-party and federal sources (including FHWA HPMS, NHTSA FARS, FHWA NBI, FEMA flood layers, state DOT feeds, and other public datasets). Federal and third-party data is included for context and convenience. You must independently verify any federal or third-party data point against the authoritative source before relying on it for critical decisions. Robocist does not warrant the accuracy, completeness, or timeliness of third-party data and is not responsible for changes to or removal of upstream sources.
18. Governing law & dispute resolution
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved first by good-faith informal discussion, and if unresolved, by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitrator's decision shall be final; provided, however, that where the amount in dispute exceeds the value of the underlying Service Agreement, either party may request judicial review within thirty (30) days of the arbitrator's decision. The seat of arbitration shall be Raleigh, North Carolina. YOU AND ROBOCIST EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

20. Document version & record of acceptance
The version string at the top of this document uniquely identifies which Terms you have accepted. When the Terms change materially, the version is incremented and all users are re-prompted. Robocist records the version, timestamp, and IP address of each acceptance against the accepting user's account.
21. Service-condition limits
Road Triage assessments rely on visible-light imagery captured during ordinary roadway driving. The following limits apply to data collection and analysis:
- Data must be collected during daylight hours, without active precipitation, and not on wet roads.
- Sign retroreflectivity is not measured — the Service does not use a retroreflectometer. Sign condition is assessed visually only.
- Output scores are derived from visible surface evidence; sub-surface conditions, base failure, and load-bearing capacity are not measured.
- Geometric precision is constrained by smartphone GPS accuracy (typically ±5 m); ground-truth positions must be confirmed with surveyed equipment if required.
22. Federal & third-party data verification
HPMS, FARS, NBI, FEMA, state DOT, and similar feeds are surfaced "to the best of our knowledge" and may contain errors, gaps, or be out of date. Always verify against the authoritative source for legal, regulatory, or capital-planning decisions. See Section 17.
23. Imagery handling & customer review obligations
Privacy filtering of delivered imagery (face and license-plate blurring) is provided on a commercially reasonable efforts basis. Robocist does not warrant that all faces, plates, or other potentially identifying content will be detected and blurred. Before publishing imagery, sharing it with third parties, or otherwise distributing it outside your organization, you are responsible for reviewing the imagery and ensuring compliance with applicable privacy laws (including state-specific regimes such as CCPA/CPRA, BIPA, and equivalents).
24. Driver & operator legal compliance
If you or your designees operate vehicles, smartphones, or other equipment to collect imagery for the Service, you remain solely responsible for compliance with traffic laws — including speed limits, signaling, hands-free device statutes, and any local restrictions on commercial data collection. Robocist disclaims liability for traffic citations, accidents, or injuries arising from your collection activities.
25. Beta & preview features
The Service may include features labeled "preview," "beta," "experimental," or similar. These features are provided in their current state for evaluation only, may change or be removed without notice, and are excluded from any service-level commitments. Output from preview features should not be relied upon for production decisions.
26. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, governmental action, supply-chain disruption, labor strikes, epidemics, pandemics, quarantines, or comparable severe events. If a force majeure event continues beyond sixty (60) days, either party may terminate the Service Agreement without penalty.
27. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force. These Terms, together with any signed Service Agreement, are the entire agreement between you and Robocist regarding the Service and supersede prior agreements. Modifications must be in writing (or accepted in-product via a versioned re-prompt). You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of substantially all assets. Failure to enforce any provision is not a waiver. Headings are for convenience only.
Legal note: This T&C document was prepared in coordination with Robocist and is intended to be reviewed by qualified counsel before going to broad production use. Sections 11 (limitation of liability), 18 (governing law/arbitration/class-action waiver), 12 (data & license grant), and the AI disclaimers (Sections 9-10) are areas where legal regimes vary by jurisdiction and continue to evolve.
